Agreement to Terms
This User Agreement ("Agreement") constitutes a legally binding agreement between you ("you," "your," or "Member") and MySila ("MySila," "we," "us," or "our") governing your access to and use of the MySila website, mobile application, and related services (collectively, the "Services").
PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE SERVICES.
ARBITRATION NOTICE: UNLESS YOU OPT OUT WITHIN 30 DAYS OF FIRST ACCEPTING THIS AGREEMENT, YOU AGREE THAT DISPUTES BETWEEN YOU AND MYSILA WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. SEE SECTION 14 (DISPUTE RESOLUTION) BELOW.
1. Definitions
- "Admin" or "Administrator" means a Member who creates, manages, or has elevated administrative control over a Private Directory.
- "Global Profile" means your master profile on MySila, which serves as the single source of truth for your professional information across all Private Directories you join.
- "Member" means any registered user of the Services, including both Admins and non-admin participants.
- "Member Content" means any information, data, text, graphics, photos, profile information, or other materials uploaded, posted, displayed, or otherwise made available through the Services by a Member.
- "MySila Content" means all content, software, trademarks, service marks, logos, and other intellectual property made available through the Services by MySila.
- "Private Directory" or "Directory" means a gated, invitation-only community created and managed by an Admin within the Services for the purpose of member networking and profile sharing.
- "Services" means the MySila platform, accessible via mysila.network, related mobile applications, and all associated features and functionality.
2. Eligibility and Account Registration
2.1. Eligibility
To use the Services, you must:
- Be at least 16 years of age (or the age of legal majority in your jurisdiction);
- Have the legal capacity to enter into a binding contract;
- Not be a person barred from receiving services under the laws of the United States or other applicable jurisdiction; and
- Not have previously been suspended or removed from the Services.
2.2. Account Registration
You may be required to register an account ("Account") to access certain features. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your Account information to keep it accurate, current, and complete;
- Maintain the security of your Account and not share your access credentials;
- Notify us immediately of any unauthorized use of your Account or any other breach of security; and
- Accept responsibility for all activities that occur under your Account.
You may not create an Account for anyone else or transfer your Account to another person.
2.3. Magic Link Authentication
We may use passwordless "magic link" authentication. You are responsible for securing access to the email address or phone number associated with your Account. We are not liable for any loss or damage arising from your failure to protect your login method.
3. The MySila Service Model
3.1. Core Functionality
MySila provides a platform for creating Private Directories and managing professional profiles. The Service is built on a centralized identity and syncing model. You understand and agree that:
- You create one Global Profile.
- You may be invited to join multiple Private Directories.
- Upon joining a Private Directory, your entire Global Profile (as it exists at that time and as it may be updated in the future) will be automatically and dynamically visible to all other Members of that Directory.
- Your profile will be searchable and discoverable within each Directory using filters for skills, sector, company, location, and other criteria.
- There is no functionality to hide or selectively share portions of your Global Profile from other Members of a Directory you have joined. Membership constitutes consent to full profile visibility within that community.
3.2. Private Directory Structure
- Admin Control: Each Private Directory is created and controlled by one or more Admins. Admins determine membership criteria, set Custom Fields, approve/deny join requests, and may remove Members.
- No Affiliation: MySila is not a party to the relationship between an Admin and their Directory Members. We do not endorse, supervise, or control any Private Directory or its Members' interactions.
- Community Rules: Admins may establish supplemental rules for their Directory ("Community Guidelines"). By joining a Directory, you agree to comply with its Community Guidelines. Conflict between such guidelines and this Agreement will be resolved in favor of this Agreement.
4. Member Obligations and Acceptable Use
4.1. Profile Accuracy and Integrity
You represent and warrant that:
- All information in your Global Profile and in any Directory-specific Custom Field responses is accurate, truthful, current, and not misleading.
- You will not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- You will not create a profile for anyone other than yourself without express authorization.
- You have the right to provide any information you submit and grant the licenses outlined in Section 6.
4.2. Prohibited Conduct
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party right.
- Infringe upon the intellectual property, privacy, or publicity rights of others.
- Harass, abuse, threaten, or intimidate other Members.
- Post, upload, or transmit any Member Content that is unlawful, fraudulent, defamatory, obscene, pornographic, or otherwise objectionable.
- Use the Services for any commercial solicitation, advertising, or "spam," unrelated to authentic community networking.
- Scrape, crawl, spider, or use any automated means to access, collect, or harvest data from the Services, including Member profiles.
- Bypass or attempt to bypass any security or access control measures.
- Interfere with or disrupt the integrity or performance of the Services.
- Encourage or enable any other person to do any of the foregoing.
5. Administrator Terms and Responsibilities
5.1. Admin Authority
If you create or manage a Private Directory as an Admin, you acknowledge and agree that:
- You are solely responsible for all activity within your Directory.
- You are an independent data controller for the personal data of your Directory Members. You must comply with all applicable privacy laws (e.g., GDPR, CCPA) in your handling of Member data.
- You must not use Member data for purposes unrelated to the stated, legitimate purpose of your Private Directory (e.g., you may not sell member lists to third parties).
5.2. Data Export and External Use
- The Services provide functionality allowing Admins to export Directory data (e.g., to a CSV file).
- Once data is exported from the MySila platform, it is outside of our technical and administrative control.
- You, as the Admin, assume full responsibility for the security, confidentiality, and lawful use of any exported Member data.
- You agree to indemnify MySila (as outlined in Section 12) for any claims arising from your misuse of exported Member data.
5.3. Admin-Member Disputes
MySila is not responsible for and will not mediate disputes between Admins and Members, or between Members within a Directory. Such disputes must be resolved directly between the parties involved.
6. Intellectual Property Rights
6.1. Ownership of MySila Content
The Services, including all MySila Content, are owned by MySila and its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use in accordance with this Agreement.
6.2. Your Member Content
You retain all ownership rights in the Member Content you submit to your Global Profile (e.g., your bio text, profile photo). However, by creating a Global Profile and joining Private Directories, you grant MySila a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
- Use, host, store, reproduce, modify, and display your Member Content for the sole purpose of operating, providing, and improving the Services, including the automatic syncing and display of your Global Profile across all Private Directories you join.
- Allow other Members of the Directories you join to view and search your Member Content as an inherent function of the Services.
6.3. Feedback
Any suggestions, ideas, or feedback you provide regarding the Services ("Feedback") are provided voluntarily. You grant MySila a perpetual, irrevocable, worldwide license to use, modify, and incorporate such Feedback into the Services without any obligation or compensation to you.
7. Privacy and Data Sharing
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your information, particularly the automatic sharing of your Global Profile within Private Directories. By using the Services, you consent to such collection, use, and sharing.
8. Third-Party Links and Services
The Services may contain links to third-party websites or services. We do not endorse or control these third parties. Your interactions with them are solely between you and the third party. We are not responsible for any loss or damage arising from such interactions.
9. Termination and Suspension
9.1. By You
You may terminate your Account at any time by contacting us or using the account deletion function within the Services.
9.2. By MySila
We may, in our sole discretion, suspend or terminate your Account and access to the Services immediately, without prior notice or liability, if:
- You breach any provision of this Agreement;
- We suspect fraudulent, abusive, or illegal activity associated with your Account; or
- We cease to offer the Services in your region or generally.
9.3. By a Directory Admin
An Admin may remove you from their Private Directory at any time and for any reason, without notice. Such removal does not terminate your MySila Account or your membership in other Directories.
9.4. Effect of Termination
Upon termination of your Account, your right to use the Services ceases immediately. Sections 6 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Governing Law), 14 (Dispute Resolution), and 15 (General) will survive termination.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MYSILA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MYSILA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICES AT YOUR OWN RISK.
MYSILA IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY MEMBER OR ADMIN. MYSILA DOES NOT WARRANT OR ENDORSE AND DOES NOT ASSUME RESPONSIBILITY FOR ANY MEMBER CONTENT OR THIRD-PARTY CONTENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYSILA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING OTHER MEMBERS OR ADMINS) ON THE SERVICES;
- ANY CONTENT OBTAINED FROM THE SERVICES; AND
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT MYSILA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL MYSILA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID MYSILA IN THE PAST TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT MYSILA HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE.
12. Indemnification
You agree to defend, indemnify, and hold harmless MySila, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of and access to the Services;
- Your violation of any term of this Agreement;
- Your violation of any third-party right, including any intellectual property, privacy, or publicity right;
- Any claim that your Member Content caused damage to a third party; or
- Your conduct as an Admin, including your handling of Member data and management of your Private Directory.
13. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Except as provided in Section 14, any legal suit, action, or proceeding arising out of or related to this Agreement or the Services shall be instituted exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
14. Dispute Resolution — Binding Arbitration
14.1. Informal Resolution First
We want to address your concerns without formal arbitration. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@mysila.network. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may initiate arbitration.
14.2. Arbitration Agreement
YOU AND MYSILA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
14.3. Class Action Waiver
YOU AND MYSILA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
14.4. Arbitration Procedures
The arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration will be held in Wilmington, Delaware, or may be conducted telephonically or via video conference at your request. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.5. Opt-Out Right
You have the right to opt out of this Arbitration Agreement within 30 days of first accepting this Agreement by sending a written opt-out notice to hello@mysila.network with the subject line "Arbitration Opt-Out." Your notice must include your name, address, and a clear statement of your intent to opt out.
15. General Provisions
- 15.1. Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and MySila regarding the Services and supersedes all prior agreements and understandings.
- 15.2. Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- 15.3. Waiver: Our failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision.
- 15.4. Assignment: You may not assign or transfer this Agreement, by operation of law or otherwise, without MySila's prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and void. MySila may freely assign or transfer this Agreement without restriction.
- 15.5. Notices: We may provide any notice to you under this Agreement by posting a notice on the Services or sending a message to the email address associated with your Account. Notices posted on the Services are effective upon posting, and email notices are effective when sent.
- 15.6. Force Majeure: We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, utility failures, or internet disturbances.
